Terms of Service

Definitions and Terms
1.You and Omnivisor -whenever we refer to you or your it means both you (the subscriber) and the Subscribing Organization that you have authority to represent. Whenever we refer to Omnivisor, we, us or our, it means the Omnivisor legal entity you enter into a contract with and pay a subscription to in order to use the services.
2. Services are the applications and services provided by Omnivisor both now and in the future, including but not limited to our online application products and mobile applications.
3. Subscriber is a person that uses the services, and includes but is not limited to:
a. A person that is using the services on a free trial basis
b. A person that is paying a subscription fee to use the services
c. A person that has been invited to use the services by another subscriber
4. Subscribing Organization is the organization on behalf of which a subscriber has established a subscription to use the services.
5. Organization Owner is the subscriber that is responsible for the management of a subscribing organization and for payment of the organization’s subscription fee. A subscribing organization may only have one organization owner.
Using Omnivisor
6. We grant the subscriber the right to use the services based on their subscription type and their granted level of access for as long as the subscriber continues to pay the subscription, until the subscription is terminated or until your access is revoked.
7. The subscriber is responsible for controlling how their subscription is managed. If the subscriber is an organization owner then they control the access to that organization. If there are any disputes with other subscribers over access to your subscribing organization then you are responsible for resolving such disputes.
8. You will keep your information up to date including your current email address. You are responsible for protecting account credentials such as username and password from being stolen or misused., and are responsible for providing true and complete information and for verifying your information is accurate in relation to your legal and tax compliance obligations.
Subscriptions
9. A trial subscription may be provided for new subscribing organizations when the organization owner first signs up for the service. Once a trial subscription ends, you may choose to delete your subscribing organization if you do not wish to continue using the services, otherwise the subscribing organization will automatically transition into a paid subscription which will be billed once you provide your billing details.
10. A paid subscription allows an organization owner to enter into an ongoing agreement to use the services in exchange for payment of a recurring fee. This fee is based on the pricing plan selected by the organization owner.
11. Pricing Plans may vary by region. Each pricing plan describes the restrictions and limits associated with that plan, as well as the pricing information about the recurring subscription fee for that pricing plan, and the invoicing and cancellation terms. We may update pricing plans from time to time, which will never apply retrospectively and we will take reasonable steps to notify you in advance of changes if a pricing plan for which you are subscribed is going to change. Pricing plans may be inclusive or exclusive of taxes (such as GST or VAT) wherever they apply, depending on your region.
12. Taxes – you are responsible for paying any other external fees and/or taxes that are associated with your use of the service.
13. Cancellation – a subscription for a subscribing organization may be cancelled by you at any time. If a subscription is cancelled, access to the services will continue to be available to you until the end of the current billing cycle.
Privacy and Data Usage
14. Data Usage you grant us a licence to use, store, back-up and analyse all data that you enter or provide to the service, including personal data that you enter or provide about others.
Maintenance Periods and Downtime
15. Service availability we take all reasonable steps to make our services and support available for 24 hours per day, 7 days per week. On occasion we need to perform maintenance on our services in order to release new features or other updates, or to address issues with the services. This maintenance may require a period of downtime, which we will strive to keep to a minimum.
16. Compensation if you request to us in writing with 28 days of downtime occurring, we may (at our own discretion) provide you with compensation for downtime greater than a 3 hour period, where the downtime is not due to maintenance (scheduled or otherwise), events beyond our control (such as the failure of services provided by third parties), or failure of your own equipment or infrastructure including your internet connection. Compensation may be provided in the form of a credit or refund at a pro-rata rate and will be applied to a future subscription period.
General Terms
17. Responsibility when using our services while we offer generous limits at each subscription tier at which we provide our services, you agree not to use our services in a manner that we see as unreasonable or otherwise excessive. We may at any time subject our services to time-based limits in order to limit the number of transactions or to cap the amount of data that our services process. If we determine that you are in violation of these limits, we will notify you in writing and you will be requested to stop said violation within 10 days. If the violation of these limits affects the availability of the services to our other customers, then we reserve the right to take whatever actions we deem necessary to prevent further violation taking place including but not limited to termination or suspension of your subscription.
18. Sharing of unlawful content you agree that you will not share any content that may violate the law of the country that you reside in, or the country where Omnivisor’s services are hosted.
19. Intellectual Property – all of the source code and content of our services remains the intellectual property of Omnivisor Pty Ltd and you may not modify, decompile, reproduce, reverse engineer or otherwise copy any of it in part or in whole.
20. Illegal Use – you may not commit any illegal acts through our service
Liability
21. Limitation of liability while we take data protection seriously, we have no liability for any loss of your data, and/or any consequential financial or other loss resulting from your use of our services. Our liability is limited to us making a reasonable effort to recover your lost data from any of our available backups.
22. Indemnity you indemnify us against all losses, expenses or costs by third party claims against us as a result of your usage of our services.
Changes to our Terms
23. We may change our terms – on occasion we may make changes to our terms of service. These changes will not apply retrospectively and we will make a reasonable effort to provide you with 30 days’ notice before they come into effect, unless we need to make urgent changes for reasons beyond our control. If you find the updated terms unacceptable you may end your subscription by cancelling it.
Data Retention
24. Cancelling your subscription – if you cancel your subscription then we will take steps to preserve your data for a minimum of 3 months just in case you decide to reactivate your subscription. If you would like us to delete your data permanently before the end of the preservation period you may notify us in writing.
